The following amendments have been made to the Transfer of Treasury Stock
announcement released on 31 October 2005 at 10.55 under RNS No 3701T.

The amount of ordinary shares held as treasury shares should read 7,827,335 and
not 7,637,335 as previously stated. 

The total number of ordinary shares in issue (excluding shares held as treasury 
shares) should read 1,378,275,345 and not 1,378,465,345 as previously stated.

All other details remain unchanged.

ARM Holdings plc ('the Company') announces that on 31 October 2005 11,239
ordinary shares, at 43 pence per share, were transferred from treasury stock
for the purposes of an employees' share scheme allotment.

Following the above transfer of treasury stock, the Company holds 7,827,335
ordinary shares as treasury shares.  The total number of ordinary shares in
issue (excluding shares held as treasury shares) is 1,378,275,345.
