ARM Holdings plc ('the Company') announces that on the 11th September 2006, the 
following ordinary shares have been transferred from treasury stock for the 
purposes of an employees' share scheme allotment.

2,071 ordinary shares at 25.00 pence per share
17,000 ordinary shares at 43.75 pence per share
3,701 ordinary shares at 47.00 pence per share
15,733 ordinary shares at 70.00 pence per share
78,855 ordinary shares at 58.65 pence per share

Following the above transfers of treasury stock, the Company holds 27,781,569 
ordinary shares as treasury shares. The total number of ordinary shares in issue 
(excluding shares held as treasury shares) is 1,359,706,059.
