ARM Holdings plc ('the Company') announces that on the 3rd November 2006, the
following ordinary shares have been transferred from treasury stock for the
purposes of an employees' share scheme allotment.

15,000 ordinary shares at 28.00 pence per share 
6,744 ordinary shares at 47.00 pence per share 
11,238 ordinary shares at 56.00 pence per share 
31,542 ordinary shares at 58.65 pence per share 
9,276 ordinary shares at 70.00 pence per share

Following the above transfers of treasury stock, the Company holds 31,036,896
ordinary shares as treasury shares. The total number of ordinary shares in issue
(excluding shares held as treasury shares) is 1,356,450,732.
